Terms of Service for ChannelManagerPro

1. Acceptance of Terms

By accessing and using the ChannelManagerPro website and its associated services (the "Service"), you signify your agreement to these Terms of Service ("Terms"). If you do not agree to these Terms, you must not use our Service. These Terms constitute a legally binding agreement between you and ChannelManagerPro. 2. Service Description

ChannelManagerPro provides a comprehensive cloud-based property management system (PMS) and channel manager solution designed for hotels, guesthouses, and other accommodation providers. Our Service includes, but is not limited to, online booking engine integration, channel distribution, inventory management, reservation management, reporting tools, and various third-party integrations. We reserve the right to modify or discontinue the Service (or any part thereof) with or without notice at any time.

3. User Accounts

• Account Creation: To access certain features of the Service, you must register for an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.
• Account Security: You are responsible for safeguarding your password and for all activities that occur under your account. You agree to notify ChannelManagerPro immediately of any unauthorized use of your account. ChannelManagerPro cannot and will not be liable for any loss or damage arising from your failure to maintain the security of your account and password.
• Eligibility: You must be at least 18 years old to use the Service. By registering, you confirm that you meet this age requirement.

4. Payment & Billing

• Subscription Fees: The Service is offered on a subscription basis. You agree to pay all applicable fees for the services you select in accordance with the pricing and payment terms presented to you at the time of subscription.
• Automatic Renewal: Unless otherwise specified, subscriptions automatically renew at the end of each billing cycle. You authorize ChannelManagerPro to charge your chosen payment method for the renewal term.
• Cancellations and Refunds: You may cancel your subscription at any time. Cancellations will take effect at the end of your current billing cycle. ChannelManagerPro does not typically offer refunds for partial subscription periods, but exceptions may be made at our sole discretion.
• Price Changes: ChannelManagerPro reserves the right to change its pricing at any time. We will provide you with reasonable notice of any price changes.

5. Intellectual Property

All content, features, and functionality on the Service, including but not limited to text, graphics, logos, icons, images, audio clips, video clips, data compilations, and software, are the exclusive property of ChannelManagerPro or its licensors and are protected by international copyright, trademark, patent, trade secret, and other intellectual property or proprietary rights laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for your internal business purposes only.

6. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall ChannelManagerPro, its affiliates, directors, employees, or agents be liable for any indirect, punitive, incidental, special, consequential, or exemplary damages, including without limitation damages for loss of profits, goodwill, use, data, or other intangible losses, arising out of or relating to the use of, or inability to use, the Service. This limitation applies whether the alleged liability is based on contract, tort, negligence, strict liability, or any other basis, even if ChannelManagerPro has been advised of the possibility of such damage.

7. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction where ChannelManagerPro is registered, without regard to its conflict of law principles. You agree to submit to the personal jurisdiction of the courts located within that jurisdiction for the purpose of litigating all such claims or disputes.

8. Changes to Terms

ChannelManagerPro reserves the right, at its sole discretion, to modify or replace these Terms at any time. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect. What constitutes a material change will be determined at our sole discretion. By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
